General terms and conditions (AGB) for the sale of HDrive products to business customers.

1. Scope

These terms apply to all offers, sales, and deliveries of products and related services by Henschel Robotics GmbH (“Seller”) to business customers (“Buyer”), unless otherwise agreed in writing. Deviating terms of the Buyer apply only if expressly accepted in writing by the Seller.

2. Offers and contracts

Offers are non-binding unless stated otherwise. A contract is formed upon written order confirmation by the Seller or upon delivery. Product descriptions on the website are for guidance only; the binding specifications are those of the confirmed order and the applicable datasheet or factsheet revision.

3. Prices and payment

Prices are quoted in CHF unless otherwise stated and exclude VAT (where applicable), shipping and customs duties. Payment terms are as stated on the invoice or as otherwise agreed. In the event of late payment, statutory default interest may be charged and further deliveries may be suspended.

4. Delivery

Delivery dates are estimates unless expressly confirmed as binding. Risk passes in accordance with the agreed Incoterms or, failing such agreement, on handover to the carrier. Partial deliveries are permitted where reasonable for the Buyer.

5. Retention of title

Delivered goods remain the property of the Seller until full payment of all claims arising from the business relationship.

6. Warranty

The Seller warrants that the products are free from defects in materials and workmanship under normal use for 12 months from delivery, unless a longer period is agreed in writing. The Buyer must inspect the goods promptly on receipt and notify any defects in writing without undue delay. The remedy is, at the Seller’s option, repair or replacement. Further claims are excluded to the extent permitted by law, except in cases of intent or gross negligence or of injury to life, body or health.

The warranty does not cover wear parts, or defects caused by improper installation, unsuitable operating conditions, unauthorised modification or use contrary to the manual.

7. Liability

Liability for slight negligence is excluded to the extent permitted by Swiss law. The Seller is not liable for indirect or consequential damages (including loss of profit and production downtime), except in cases of intent or gross negligence. Mandatory product liability remains unaffected.

8. Intellectual property & software

Firmware, ESI files, documentation and example software remain the intellectual property of the Seller or its licensors. The Buyer receives a non-exclusive right to use them in connection with the purchased products. Open-source components are governed by their respective licences.

9. Export and compliance

The Buyer is responsible for compliance with applicable export control, embargo, and end-use regulations. Products are not certified as medical devices unless expressly stated.

10. Governing law and venue

These terms are governed by Swiss substantive law, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). Exclusive place of jurisdiction is Winterthur, Switzerland, unless mandatory law requires otherwise.

11. Severability

If any provision of these terms is or becomes invalid, the remaining provisions remain in force. The invalid provision shall be replaced by a valid provision that comes closest to its economic purpose.
